    Terms of Service

    Welcome to Boardly. These terms govern your use of our platform. We've written them in plain English because we believe you should actually understand what you're agreeing to.

    The Basic Deal

    What We Provide:

    • Software platform for co-op and condo board management
    • Document storage and organization tools
    • AI-powered financial report analysis
    • Compliance tracking and reminders
    • Communication tools for boards and residents

    What You're Responsible For:

    • Accurate information when you sign up
    • Keeping your login credentials secure
    • Using the platform legally and appropriately
    • Your own decisions based on information from Boardly

    Account Terms

    Who Can Use Boardly:

    • You must be 18 or older
    • You must be authorized to represent your building or board
    • You must provide accurate contact and building information

    Your Account:

    • You're responsible for activity under your account
    • Don't share your login credentials
    • Notify us immediately if you suspect unauthorized access
    • One account per user (no shared logins)

    Our Service

    What We Promise:

    • We'll do our best to keep Boardly running smoothly
    • We'll notify you of major changes or planned downtime
    • We'll protect your data (see our Privacy Policy)
    • We'll provide reasonable customer support

    What We Don't Promise:

    • 100% uptime (though we aim for high availability)
    • That our AI summaries are perfect (always review source documents)
    • That following our compliance reminders guarantees legal compliance
    • That we'll never need to make changes to features

    Your Content

    What You Upload:

    • You own the documents, data, and content you upload
    • You grant us permission to store, process, and display it to provide our service
    • You're responsible for having the right to upload it
    • You can delete your content at any time

    What We Can Do:

    • Use your content only to provide Boardly services
    • Back up your data for security and recovery
    • Anonymize and aggregate data for product improvements
    • We will never sell your building's documents or data to third parties

    The Important Legal Stuff

    Not Legal or Financial Advice:

    Boardly provides tools and information, but we're not your lawyer, accountant, or property manager. Our compliance reminders and financial summaries are helpful guides, not professional advice. Always consult qualified professionals for legal, financial, and compliance decisions.

    Limitation of Liability:

    We're not liable for:

    • Missed deadlines or compliance violations
    • Financial decisions made using our tools
    • Third-party vendor performance
    • Data loss due to circumstances beyond our control
    • Indirect, consequential, or punitive damages

    Since Boardly is a free service, our total liability is limited to direct damages up to $100.

    Indemnification:

    You agree to defend us against claims arising from:

    • Your misuse of the platform
    • Your violation of these terms
    • Your violation of laws or third-party rights
    • Content you upload

    Free Access

    Boardly is free to try for NYC building boards and property managers.

    • No subscription fees or hidden costs
    • We reserve the right to modify features or availability

    Termination

    You Can Cancel:

    • Anytime by notifying us
    • Your data remains accessible for 30 days after cancellation

    We Can Suspend or Terminate:

    • If you violate these terms
    • If we reasonably believe there's fraudulent activity
    • If required by law
    • We'll provide notice when possible

    Changes to These Terms

    We may update these terms. If we make material changes:

    • We'll notify you by email or platform notification
    • Continued use after changes means you accept them
    • If you don't agree, you can cancel your account

    General Legal Terms

    Governing Law: New York State law governs these terms.

    Dispute Resolution: Any disputes will be resolved through binding arbitration in New York County, NY (except for claims in small claims court).

    Entire Agreement: These terms, along with our Privacy Policy, constitute the entire agreement between us.

    Severability: If any provision is found unenforceable, the rest remains in effect.

    No Waiver: Our failure to enforce any right doesn't waive that right.
